Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CargoMind™ Enhance add-on for Gmail (the "Add-on"), provided by NextGen – Extended Workforce Solutions ("NextGen", "we", "our", "us"). By installing or using the Add-on, you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Description of the Service

The Add-on operates inside Gmail and helps freight forwarding and logistics teams process shipment-related email. It reads the content of email messages you open and their attachments to extract shipping data, surface relevant information, and assist with workflows that connect to the CargoMind platform and, where configured, your CargoWise environment.

2. Eligibility and Accounts

• You must have a valid Google Workspace or Gmail account to use the Add-on.
• Certain features require a linked CargoMind account provisioned by NextGen or your organisation's administrator.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3. Acceptable Use

You agree not to:

• Use the Add-on for any unlawful, infringing, or fraudulent purpose;
• Attempt to reverse engineer, decompile, or interfere with the Add-on or its underlying services;
• Circumvent access controls, usage limits, or security measures;
• Use the Add-on to process data you are not authorised to access.

4. Google API Services

The Add-on's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Details of the data we access and how we handle it are set out in our Privacy Policy.

5. Customer Data and Confidentiality

Email content and shipment data processed through the Add-on remain the property of you or your organisation. We process such data only to provide the Add-on's functionality, in accordance with our Privacy Policy and any separate services agreement between NextGen and your organisation. We treat your data as confidential and apply appropriate technical and organisational safeguards.

6. Service Availability

We aim to keep the Add-on available and reliable but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features at any time. Where the Add-on depends on third-party services (Google, Microsoft, CargoWise, hosting providers), we are not responsible for outages or changes outside our control.

7. Intellectual Property

The Add-on, the CargoMind platform, and all associated software, branding, and documentation are owned by NextGen and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Add-on; no other rights are granted.

8. Disclaimers

The Add-on is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Automated data extraction may contain errors; you remain responsible for verifying any data before relying on it for operational, customs, or financial decisions.

9. Limitation of Liability

To the maximum extent permitted by law, NextGen shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, or business, arising from your use of the Add-on. Our total aggregate liability shall not exceed the amounts paid (if any) for the Add-on in the twelve months preceding the claim.

10. Termination

You may stop using and uninstall the Add-on at any time. We may suspend or terminate access for breach of these Terms or where required by law. Provisions that by their nature should survive termination (including Sections 5, 7, 8, 9, and 11) will continue to apply.

11. Governing Law

Confirm before publishing: set the governing jurisdiction. Suggested default for NextGen: the Republic of the Philippines, with disputes subject to the courts of Manila. Replace this paragraph with your chosen jurisdiction.

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Manila, Philippines.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the Add-on after changes take effect constitutes acceptance of the revised Terms.
